Corporate License
Professional Corporation License
A corporate licence is issued by the CCTNB to entities operating a counselling business that is incorporated under the laws of New Brunswick or another jurisdiction.
Under the bylaws of the CCTNB, all incorporated counselling businesses are required to obtain a corporate licence from the CCTNB. In addition, the following requirements apply to professional counselling corporations:

Mandatory Requirements for Counselling Corporations
1) Incorporation
Under the Licensed Counselling Therapy Act and the College’s By-laws, any corporation that provides counselling therapy services “by, through, or in the name of a corporation” must be registered with the College. This requirement applies specifically to corporations owned or controlled by a Licensed Counselling Therapist (LCT) or Licensed Counselling Therapist–Candidate (LCT-C), as only members are authorized to practise counselling therapy. Accordingly, any such incorporated business must hold its own valid license with the College.
2) Ownership Structure
All shares of the corporation must be owned by members of the CCTNB;
- No outside investors or unrelated shareholders are permitted.
3) Direction and Control
- The corporation must be directed and controlled by CCTNB members.

A licensed professional corporation can still include:
- Other regulated professionals (e.g., psychologists, social workers)
- Administrative staff
- Contractors or employees in other roles;
However,

- Those individuals must practise within their own scope and under their own regulatory body.
- They must not be presented as providing counselling therapy under the CCTNB licence unless they are members.
4) Registration with the CCTNB
- The corporation must apply to be entered on the Professional Corporation Register.
- A separate license is issued to the corporation, in addition to the individual practitioner’s licence. IMPORTANT: A corporate license does not replace an individual license. An individual license is still needed even if you have a corporate license.

1) I am an individual who is the sole proprietor of my business. Do I need a corporate license?
There is a difference between operating your business as a sole proprieter/partnership and operating it as an incorporated business.
If…
- You are a LCT-C or LCT.
- You operate under your own name as a sole proprietor/partnership.
Then…
- You do NOT need a separate professional corporation licence.
- You only need your individual CCTNB licence.
2) I have incorporated my business. Do I need a corporate license?
You must apply for a Professional Corporation Licence with CCTNB if ALL of the following apply:
- The counselling services are provided through a corporation

- e.g., Smith Counselling Therapy Inc.

- The corporation:

- Bills clients
- Advertises counselling services
- Holds itself out as providing counselling therapy

- Counselling is offered “by, through, or in the name of” the corporation
The by-laws explicitly state:
“No person or corporation shall carry on, purport to carry on or advertise the carrying on the practice of licensed counselling therapy by, through or in the name of a corporation unless registered as a professional corporation.”
